Terms of Service

Please read these terms carefully before using CloudKeep.

1. Acceptance of Terms

By accessing or using CloudKeep (“the Service”), operated by CloudKeep, Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individual users and users acting on behalf of an organization.

2. Description of Service

CloudKeep is a developer-first cloud password and secrets management platform. The Service provides tools for securely storing, managing, and sharing passwords, API keys, environment variables, and other sensitive data using zero-knowledge encryption.

The Service includes, but is not limited to, secure vaults, team collaboration features, a command-line interface (CLI), API access, webhook integrations, and role-based access controls.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials, including your master password.

CloudKeep uses zero-knowledge encryption, meaning we cannot access or recover your master password. You are solely responsible for remembering your master password and securing any recovery keys provided to you.

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. User Responsibilities

As a user of the Service, you agree to:

  • Provide accurate and complete information during registration and keep your account information up to date.
  • Maintain the security of your master password and recovery keys, and accept all responsibility for activity under your account.
  • Comply with all applicable local, state, national, and international laws and regulations.
  • Not share your account credentials with unauthorized third parties.
  • Promptly report any security vulnerabilities you discover in the Service.

5. Acceptable Use

You agree not to use the Service to:

  • Store, transmit, or distribute any content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
  • Violate any applicable laws, regulations, or third-party rights.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service to facilitate credential stuffing, brute-force attacks, or any form of unauthorized access to third-party systems.
  • Exceed or circumvent API rate limits or other usage restrictions established for your plan tier.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use requirements.

6. Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is and will remain the exclusive property of CloudKeep, Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the data you store within the Service. By using the Service, you grant us a limited license to process your encrypted data solely for the purpose of providing the Service to you. Due to our zero-knowledge architecture, we cannot access the contents of your encrypted data.

7. Data and Privacy

Your privacy is critically important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

CloudKeep employs zero-knowledge encryption, meaning your secrets are encrypted on your device before being transmitted to our servers. We do not have the ability to decrypt or access the contents of your stored secrets.

You are responsible for maintaining backups of your data. While we take every reasonable precaution to protect your encrypted data, we cannot guarantee that data loss will never occur.

8. Subscription Plans and Payment

CloudKeep offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase.

You agree to pay all fees associated with your selected plan. Fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change our pricing with reasonable notice.

If payment fails, we may suspend access to paid features until the outstanding balance is resolved. Your encrypted data will remain accessible during any grace period.

9. Service Availability and Disclaimers

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOUDKEEP, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.
  • Loss of your master password or recovery keys resulting in inability to access your encrypted data.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature within the Service. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we are required to do so by law. We may also terminate or suspend the Service entirely at our discretion with reasonable notice.

Upon account termination, we will delete your encrypted data within 30 days unless retention is required by law. You are responsible for exporting any data you wish to retain before terminating your account.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and terminate your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
